Allotment of Shares

Issue new shares in your company.

An allotment of shares is the issue of new shares to existing shareholders or new investors. Directors can allot shares if they have authority to do so under the constitution or a members' resolution. The allotment must be reported to the CRO on Form B5 within 30 days.

Companies allot shares to:

  • raise money for the company;
  • bring in new investors, including Enterprise Ireland or Local Enterprise Office funding;
  • set up a group structure;
  • fund a redemption of shares;
  • make a bonus issue of shares.

What's included

  • Board resolution approving the allotment
  • New share certificates
  • Update of the register of members
  • Preparation and filing of Form B5

Pricing

The price covers a standard allotment to one shareholder. An allotment to several shareholders, or one that creates new classes of shares, needs more drafting and review, so an extra fee applies. We'll always confirm it with you before we start.
