File your annual return on time and keep your audit exemption.
Every Irish company, trading or not, must file an annual return (Form B1) with the Companies Registration Office (CRO) each year. It updates the public record with the company's directors, secretary, shareholders and share capital.
Key dates
- The first annual return date (ARD) is six months after incorporation. Financial statements are not needed with this first return.
- The next ARD is 12 months later, and every 12 months after that. From the second return on, financial statements must be attached.
- Each return must be filed within 56 days of its ARD.
- The financial statements cannot be made up to a date more than nine months before the ARD.
If you file late
- A late filing fee of €100 applies, plus €3 per day, up to €1,200 per return.
- A company that files late more than once in five years loses its audit exemption, which means the cost of a full audit.
- The CRO is stepping up enforcement, including striking off companies and prosecuting companies and directors for non-filing.
