Update your company's constitution.
The constitution (formerly the Memorandum and Articles of Association) sets out the company's rules, such as its objects, members' voting rights and share structure. Changing it requires a special resolution passed by at least 75% of the votes cast by members, which must then be filed with the CRO.
What's included
- Redrafting the constitution to your requirements
- Bringing an older constitution in line with the Companies Act 2014, if needed
- Members' special resolution
- Board minutes approving the resolution
- Preparation and filing of the CRO forms
Pricing
€200 covers a straightforward constitution of two to three pages. Longer or more complex constitutions are priced after an initial consultation, and we agree the fee with you before we begin.
