Keep a clear record of every use of your company seal.
Under the Companies Act 2014, the company seal may only be used with the authority of the directors or a committee of directors. Each use should be approved by the board, recorded in the board minutes and attested in line with the company's constitution.
A sealing register is not a statutory requirement, but it is good practice and makes it easy to show that the seal has been used properly.
Each entry records:
- a description of the document sealed;
- the date the seal was used;
- the date the authority to use it was given;
- the people who attested its use.
