The simplest way to close an Irish company that has stopped trading.
A company can apply to be voluntarily struck off the register if both its assets and its liabilities are €150 or less. Assets and liabilities can't be netted off against each other, and any liabilities must be paid or written off first.
The steps
- Bring all annual returns up to date and pay any late filing fees
- Pass a special resolution to apply for strike off, confirming the company won't trade or incur liabilities while the application is pending
- Get a letter of no objection from Revenue, dated within three months of the application
- Publish a notice in a national daily newspaper, no more than 30 days before the application
- File Form H15 online with the CRO
We carry out all these steps for you.
Not included
- Outstanding CRO late filing fees
- Preparation of any outstanding annual returns or accounts
- The newspaper advertisement and CRO filing fee
Why close a company properly?
Simply abandoning a company leads to involuntary strike off and can expose directors to enforcement action by the Corporate Enforcement Authority, including fines and disqualification as a director.
